Companies House is clamping
down severely on limited companies who do not comply with their statutory
obligations on time. A private company that is even a day late in filing its
accounts will incur an automatic fine of £100, and the amount rises in stages
to £1,000 (after 12 months delay); for public companies the fine is £500 rising
to £5,000. Failure by the directors to submit documents on time is also a
criminal offence. Other obligations such as prompt filing of annual returns are
now more rigorously enforced. Fines can also be levied for failing to deliver
in due time notice of a change in a Company's directors or Company Secretary or
in their particulars.
From now on it is going to
be particularly important to ensure that company secretarial administration is
put in reliable hands. To help cope with this, Fry & Company offers a
company secretarial service for a fixed fee of £350 plus VAT for which
we
will:
- Provide a company secretary (or if preferred,
joint secretary).
- Provide a registered office address for the
Company.
- Prepare all formalities in connection with the
ordinary business of the AGM (including drafting resolutions, notice to
members, rotation of directors, filing accounts
and recording Minutes).
- Prepare Stock Transfer Forms on the transfer of
a shareholding and send to the Stamping Office of the Inland Revenue for
stamp duty purposes.
- Complete Inland Revenue Corporation Tax
questionnaire
- Prepare and file the Annual Return to Companies
House.
- Keeping the Statutory Books: Register of
Members, Register of Directors, Register of Charges, Register of Documents
Sealed, Register of Minutes.
- Deal with the preparation and filing of
appropriate forms and writing up of Statutory Books consequent on changes
within the Company (such as a change of Directors, or a transfer of shares
on the sale of a flat) - an additional charge may be made where there are
more than two such events in any year.
As there will be considerable work to be dealt with initially to assimilate the details of the Company and to change the secretary or registered office, a sum of £100 plus VAT will be added to the first year's charge.
